1 Acceptance of Terms

By accessing or using VixFlow ("the Service", "the Application"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not use the Service.

These Terms apply to all users of VixFlow, including visitors to the website and users of the application.

2 Description of Service

VixFlow is a client-side web application that helps freelancers manage clients, proposals, invoices, projects, and expenses. It is a local-first application, meaning all data is stored in the user's browser and no account registration is required.

VixFlow includes AI-powered features that use the Anthropic Claude API. To use these features, users must provide their own Anthropic API key. VixFlow is not affiliated with Anthropic.

3 Your Data and Content

You retain full ownership of all data, content, and intellectual property that you create within VixFlow, including client information, proposals, invoices, and any other content.

Because VixFlow is a local-first application:

• All your data is stored in your browser's localStorage on your device
• We have no access to, control over, or responsibility for your stored data
• You are solely responsible for backing up your data (use the Export feature)
• Data loss due to browser clearing, device failure, or other technical issues is your responsibility

4 Claude API & Third-Party Services

VixFlow's AI features require an Anthropic Claude API key. By using AI features in VixFlow:

• You agree to Anthropic's Terms of Service and Privacy Policy
• You are solely responsible for all costs associated with your Claude API usage
• You are responsible for keeping your API key secure and confidential
• Any misuse of the Claude API is your responsibility and subject to Anthropic's terms

VixFlow does not guarantee the availability, accuracy, or quality of Claude API responses.

5 Acceptable Use

You agree to use VixFlow only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service for any illegal or unauthorized purpose
• Use AI features to generate fraudulent invoices, deceptive proposals, or misleading content
• Attempt to reverse-engineer, modify, or distribute the VixFlow application code without permission
• Use the Service in any way that could damage, disable, or impair the Service
• Impersonate any person or entity using VixFlow
• Use AI features to generate content that violates Anthropic's usage policies

Professional Use

VixFlow is designed for freelance professionals and legitimate business use. Users are responsible for ensuring that proposals, invoices, and contracts they create and send to clients are accurate, honest, and legally compliant in their jurisdiction.

6 Intellectual Property

The VixFlow application, its design, code, branding, and all related materials are the intellectual property of Sultan Zaman, the creator of VixFlow.

You are granted a non-exclusive, non-transferable, revocable license to use VixFlow for your personal or business freelance management purposes. This license does not include the right to:

• Copy, modify, or distribute the VixFlow source code without explicit permission
• Create derivative works based on VixFlow
• Use the VixFlow name, logo, or branding in your own products
• Sell or sublicense access to VixFlow

7 AI-Generated Content

VixFlow uses AI to help generate proposals, invoices, and other documents. You acknowledge that:

• AI-generated content may contain errors, inaccuracies, or inappropriate content
• You are solely responsible for reviewing, editing, and approving all AI-generated content before sending it to clients
• AI-generated proposals and contracts may not be legally binding without proper review by qualified legal counsel
• We make no representations about the accuracy or suitability of AI-generated content for any specific legal or business purpose

8 Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will meet your specific requirements
• The Service will be uninterrupted, timely, secure, or error-free
• The results obtained from using the Service will be accurate or reliable
• AI-generated content will be appropriate, accurate, or legally compliant

VixFlow is not a licensed legal or financial advisor. Nothing in the application constitutes legal or financial advice.

9 Limitation of Liability

To the maximum extent permitted by applicable law, Sultan Zaman and VixFlow shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of business data or records
• Loss of revenue or profits
• Business interruption
• Any losses arising from reliance on AI-generated content
• Any losses arising from client disputes related to proposals or invoices generated using VixFlow

Our total liability to you for any claim arising from the use of VixFlow shall not exceed $0 (zero), as VixFlow is provided free of charge.

10 Indemnification

You agree to indemnify, defend, and hold harmless Sultan Zaman and VixFlow from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:

• Your use of the Service in violation of these Terms
• Your use of AI-generated content without proper review
• Any dispute with a client arising from documents you created using VixFlow
• Your violation of any third-party rights, including Anthropic's terms of service

11 Termination

Since VixFlow requires no account and stores no data on our side, there is nothing to "terminate" from our end. You can stop using VixFlow at any time. To remove your data, simply clear your browser's localStorage.

We reserve the right to modify or discontinue VixFlow (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

12 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Bangladesh, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of VixFlow shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in Dhaka, Bangladesh, or through applicable consumer protection authorities.

13 Changes to Terms

We reserve the right to update these Terms at any time. We will notify users of significant changes through the Changelog page. Changes will also be reflected in the "Last updated" date at the top of this page.

Your continued use of VixFlow after changes are posted constitutes your acceptance of the modified Terms. If you do not agree to the updated Terms, you should stop using the Service.
